3. Client Responsibilities

To ensure effective service delivery, you agree to:

  • Provide accurate information, feedback, and approvals.

  • Secure rights to any materials provided to us.

  • Supply necessary content and assets on time.

  • Respond promptly during all project phases.

  • Make payments as agreed.

Delays may impact project deadlines and final outcomes.

4. Payments & Billing

Payment terms will be outlined in your proposal or invoice.
Unless stated otherwise:

  • A deposit is required before work begins.

  • Payments are due upon invoice receipt.

  • Late payments may pause or delay service delivery.

  • Fees for completed phases are non-refundable.

Paid advertising budgets (Google Ads, Meta Ads, Outdoor Media, TV/Radio slots, etc.) are billed separately unless otherwise stated.

5. Performance Expectations

While we commit to delivering high-quality work, marketing outcomes can depend on factors beyond our control. Therefore:

  • We do not guarantee specific results such as rankings, sales numbers, engagement rates, or conversions.

  • Digital performance may vary due to platform changes, market conditions, or algorithm updates.

  • Traditional marketing results may vary based on audience, timing, and media performance.

We provide transparent reporting where applicable.

6. Use of Third-Party Platforms

Our marketing services may involve third-party tools and platforms, including but not limited to:
Google, Meta (Facebook/Instagram), TikTok, LinkedIn, YouTube, email platforms, ad networks, analytics tools, publishing platforms, or event organizers.

We are not responsible for:

  • Platform outages, policy changes, or penalties

  • Lost access due to client account issues

  • Third-party billing errors

  • Downtime or data loss caused by external systems

Clients must comply with third-party platform rules.

7. Intellectual Property & Licensing

Unless otherwise stated:

  • All final deliverables become the client’s property after full payment.

  • Drafts, working files, raw creative materials, and proprietary processes remain ours.

  • We may display completed work in our portfolio unless confidentiality is requested in writing.

Client-provided materials remain the client’s property.

8. Confidentiality

We will not disclose any confidential information you share except when necessary to deliver your marketing services or required by law.

Confidentiality does not apply to information made public by the client.

9. Termination Policy

Either party may terminate the agreement with written notice.
Upon termination:

  • Payment is required for all completed work up to the termination date.

  • Deposits or retainers are non-refundable.

  • We may withhold deliverables until outstanding payments are settled.

Immediate termination may occur due to:

  • Non-payment

  • Abuse or unethical behavior

  • Illegal marketing requests

  • Violation of these Terms

10. Limitation of Liability

To the fullest extent permitted by law, Constant Service is not responsible for:

  • Lost profits, revenue, or opportunities

  • Fluctuating campaign performance

  • Third-party system outages

  • Indirect or consequential damages

Our total liability is limited to the amount paid for services within the last 60 days.

11. Updates to Terms

We may update these Terms at any time.
Updates will be posted on this page with a new “Last Updated” date.
Continued use of our services implies acceptance of the modified Terms.

12. Governing Law

These Terms are governed by the laws of the United States.
Any disputes will be handled through negotiation or arbitration within the appropriate jurisdiction.
